Version: 2.0 Effective from: the date of publication for new customers. For existing customers, 30 days after JOBBS has notified them, see clause 17. Replaces: General Terms and Conditions (Terms and Conditions) dated 2024-05-01
1. Parties and definitions
1.1 These general terms and conditions (“these Terms”) apply when JOBBS AB, corporate identity number 559378-9083, Mellbygatan 9, 531 31 Lidköping (“JOBBS”) provides the Service to the Customer.
1.2 These Terms apply only when the Customer is a business. The Service is not provided to consumers. Any person entering into the Agreement on behalf of the Customer warrants that they are authorised to represent the Customer.
1.3 In these Terms, the following terms have the meanings set out below.
| Term | Meaning |
|---|---|
| Agreement | The agreement between JOBBS and the Customer regarding the Service, consisting of the documents listed in clause 2. |
| User | A person whom the Customer authorises to use the Service’s administration interface, for example the Customer’s employees and contractors. |
| Fees | All fees payable by the Customer under the Agreement, including subscription fees, transaction fees and fees for Hardware. |
| Hardware | Physical equipment that JOBBS sells to the Customer, primarily the JOBBS Lockswitch control unit with accessories. Hardware does not include third-party equipment with which the Service integrates, for example locks from Yale (via Seam), Axis or Avigilon (OpenPath), which the Customer acquires from a party other than JOBBS. |
| the JOBBS app | JOBBS’s mobile application used by End Customers and Users for, among other things, digital keys, login, purchases and bookings. |
| Customer | The business named in the order confirmation or the signed agreement. |
| Customer Data | Data that the Customer, Users or End Customers enter into or generate through the Service, for example receipts, transactions, bookings, access events, product registers and customer registers. |
| Partner or Reseller | An independent company that sells, installs or services the Service or Hardware, for example a locksmith or electrical installer. A Partner is an independent business and not an agent of JOBBS. |
| End Customer | The Customer’s own customers, members, guests and visitors who use the Service to shop, book or gain access to the Customer’s premises. |
| Service | JOBBS’s cloud-based platform provided as software as a service (SaaS), with the modules ordered by the Customer, together with the JOBBS app, software and firmware in Hardware, and associated support. |
1.4 The Service may include the following modules, depending on what the Customer has ordered:
- JOBBS Handel (Retail): a platform for self-scanning, unmanned and partly staffed (hybrid) stores, with checkout functionality, receipts, payments via the Customer’s own merchant agreement with Adyen (see clause 5) and export of accounting data in SIE4 format.
- JOBBS Passage: access control with identification via BankID, digital keys in the JOBBS app, links via SMS, door codes and proximity unlocking, including automatic unlocking via Bluetooth when an authorised user’s phone is near a JOBBS Lockswitch.
- JOBBS Bokning (Booking): booking of times, resources and premises, linked to access.
- JOBBS AI: an AI assistant in the administration interface that answers questions based on Customer Data and that can perform certain actions, for example unlocking a door, only after the User has expressly confirmed the action (see clause 10).
2. Components of the Agreement and order of precedence
2.1 The Agreement consists of the following documents. If the documents conflict, they apply in the order listed below, unless the circumstances clearly indicate otherwise:
- a signed agreement or order confirmation from JOBBS, including any quotation referred to in the order confirmation;
- data processing agreement (“DPA”);
- product appendix, price appendix and appendix on SLA and support (“the SLA Appendix”);
- these Terms.
2.2 The Agreement is formed when the parties have signed an agreement, when JOBBS has sent an order confirmation or when the Customer has started using the Service, whichever occurs first.
2.3 The Customer’s own purchasing terms or other standard terms do not apply, even if they are attached to an order or other correspondence.
2.4 A Partner or Reseller has no right to enter into agreements, give undertakings, warranties or discounts, or otherwise bind JOBBS. Undertakings from a Partner apply only between the Customer and the Partner, unless confirmed in writing by JOBBS.
3. Term, termination and suspension
3.1 The Agreement applies from the time it is formed and until further notice, unless otherwise stated in the order confirmation.
3.2 Each of the parties may terminate the Agreement with a notice period of three (3) months, calculated from the end of the month in which the notice of termination was received by the other party.
3.3 The Agreement has no minimum term. If a quotation, order confirmation or a separate agreement with the Customer or with a Partner specifies a minimum term or another notice period, that term or period takes precedence over clause 3.2.
3.4 Termination shall be made in writing, by email to support@jobbs.se or via the termination function in the Service.
3.5 Either party may terminate the Agreement with immediate effect if the other party
- (a) materially breaches the Agreement and does not remedy the breach within thirty (30) days of a written request to do so, or
- (b) enters into liquidation, is declared bankrupt, enters into company reorganisation, suspends its payments or may otherwise be assumed to be insolvent.
3.6 Suspension for non-payment. If the Customer does not pay an overdue invoice, JOBBS may suspend the Customer’s access to the Service, in whole or in part, only after JOBBS has notified the Customer in writing that suspension will take place and the Customer has not paid within at least ten (10) days of the notice. The notice shall state that suspension may affect doors and access. When suspending, JOBBS shall take reasonable account of the fact that doors may be affected and shall primarily restrict administrative functions and new sales and booking flows. The Customer is responsible for arranging, in good time, an alternative means of opening its premises. The Service will be reactivated when all overdue amounts have been paid.
3.7 JOBBS may also suspend the Service, in whole or in part, without prior notice if this is necessary to prevent serious harm to the Service, Customer Data, other customers or third parties, for example in the event of a suspected intrusion or misuse. In such case, JOBBS shall notify the Customer without delay and limit the suspension to what is necessary.
3.8 Suspension under clause 3.6 or 3.7 does not affect the Customer’s obligation to pay Fees.
4. Prices and payment
4.1 The Fees are set out in the price appendix or the order confirmation. All prices are stated exclusive of value added tax and other taxes and public charges.
4.2 Subscription fees are invoiced monthly in advance, unless otherwise stated in the order confirmation. Hardware is invoiced on delivery.
4.3 Fees for BankID identification are charged in accordance with the price appendix and are invoiced by JOBBS monthly in arrears, based on the usage recorded in the Service. Transaction fees related to payments are charged in accordance with the price appendix and are deducted automatically from the Customer’s payouts from Adyen. The deductions are shown in the Customer’s settlement statement.
4.4 Payment shall be made within ten (10) days of the invoice date.
4.5 In the event of late payment, JOBBS is entitled to default interest under the Swedish Interest Act (räntelagen) (1975:635), a reminder fee under the Swedish Act on Compensation for Debt Recovery Costs, etc. (lagen (1981:739) om ersättning för inkassokostnader m.m.) and a late payment compensation under the same Act.
4.6 Annual index adjustment. On 1 January each year, JOBBS may adjust the subscription fees by the change in the consumer price index (KPI, 1980 = 100) from October two years before the year of adjustment to October of the year before the year of adjustment, plus two (2) percentage points. Adjustments are never made downwards. An adjustment under this clause does not entitle the Customer to terminate the Agreement early.
4.7 Other price changes. Changes to the Fees other than index adjustments shall be notified to the Customer in writing at least thirty (30) days before they take effect. The Customer then has the right to terminate the Agreement with effect from the date on which the change takes effect, even during an agreed minimum term. If the Customer does not do so, the Customer is deemed to have accepted the change.
4.8 Objections to an invoice shall be made in writing before the due date. The undisputed part of the invoice shall be paid on time.
5. Payments via Adyen and Swish
5.1 Card payments and other digital payments in JOBBS Handel and in other modules are processed via Adyen. The Customer enters into an agreement directly with Adyen for its own merchant account. The Customer is the seller in relation to the End Customer and the payee.
5.2 JOBBS is a technical platform provider. JOBBS does not receive, hold or transfer the Customer’s or the End Customer’s funds and is not a party to the payment transactions. Transaction fees under clause 4.3 are deducted by Adyen before the money is paid out to the Customer, in accordance with the Customer’s agreement with Adyen.
5.3 The following matters are governed exclusively between the Customer and Adyen, and JOBBS is not responsible for them: Adyen’s fees, chargebacks and disputes regarding individual payments, reserves and withheld funds, know your customer (KYC) and other checks under anti-money laundering rules, payouts, and Adyen’s decisions to restrict, suspend or close the Customer’s merchant account.
5.4 Payment by Swish requires the Customer to have its own agreement on Swish for businesses with its bank. Terms, fees and availability for Swish are governed between the Customer and the bank.
5.5 At the Customer’s request, JOBBS shall provide reasonable technical assistance in investigating a payment, to the extent the information is available in the Service.
6. The Customer’s responsibilities
6.1 The Customer is responsible for ensuring that the Customer’s business and use of the Service comply with applicable laws, regulations and decisions of public authorities. This means, among other things, that the Customer is responsible for
- (a) cash registers: assessing whether the Customer’s sales are subject to cash register requirements or to any exemption, for example for unmanned sales, automated business premises or distance contracts, and meeting the applicable requirements, such as registering cash registers with the Swedish Tax Agency (Skatteverket) and connecting a control unit. JOBBS Handel is designed for unmanned and automated sales. If the Customer uses the Service when staff are present on the premises, or in another way that affects the assessment, the Customer is responsible for ensuring that the sales nevertheless comply with the rules;
- (b) bookkeeping and archiving: continuously keeping accounts and archiving accounting information in the form and for the period required by the Swedish Bookkeeping Act (bokföringslagen), currently seven (7) years. The Service is an aid and does not constitute the Customer’s archive. The Customer shall regularly export receipts and SIE4 files;
- (c) permits and age verification: holding the permits and making the notifications required for the sale of tobacco, nicotine products, low-alcohol beer (folköl) and over-the-counter medicines, and ensuring the age verification and self-monitoring required by law, also in the case of unmanned sales;
- (d) price information and food: complying with the Swedish Price Information Act (prisinformationslagen) and food legislation, including registration of food establishments, labelling, temperature requirements and traceability;
- (e) signage and camera surveillance: meeting requirements for information and signage on the premises and ensuring that camera surveillance is carried out in accordance with the Swedish Camera Surveillance Act (kamerabevakningslagen) and the General Data Protection Regulation (dataskyddsförordningen);
- (f) terms for End Customers: drawing up and providing its own purchase, booking and membership terms and privacy information for End Customers. JOBBS is not a party to the Customer’s agreements with End Customers.
6.2 The Customer shall follow JOBBS’s written instructions when deploying and using the Service and Hardware, including requirements for internet connection and power supply in accordance with the SLA Appendix.
6.3 The Customer is responsible for the Users’ use of the Service as for its own. The Customer shall ensure that login credentials, permissions and door codes are handled securely, that permissions are removed when no longer needed and that JOBBS is notified immediately of any suspected unauthorised use.
6.4 The Customer may not use the Service in breach of the law or the rights of third parties, attempt to circumvent technical protection measures, carry out load or security tests without JOBBS’s written consent, or use the Service to develop a competing service.
6.5 The Customer shall indemnify JOBBS against claims from third parties, including public authorities and End Customers, arising from the Customer’s breach of this clause 6.
7. Doors and physical security
7.1 JOBBS Passage and JOBBS Lockswitch control locks, doors, gates and other equipment that the Customer itself chooses to connect. The Customer is responsible for locks, the door environment and the physical design of the door, and for ensuring that evacuation, fire safety and accessibility comply with the building regulations of the Swedish National Board of Housing, Building and Planning (Boverkets byggregler, BBR), other applicable law and the requirements of the Customer’s insurer. This includes the choice of fail-safe (open in the event of a power failure) or fail-secure (locked in the event of a power failure) function and ensuring that escape routes can always be opened from the inside without the Service.
7.2 The Customer is responsible for activating and configuring proximity unlocking and automatic unlocking via Bluetooth, including distance, which doors are covered and which End Customers and Users are authorised. These functions are disabled until the Customer activates them. A Bluetooth beacon linked to a door can give End Customers a notification when they are nearby, but never opens the door automatically unless the Customer has chosen this.
7.3 JOBBS is not liable for unauthorised access that occurs through
- (a) persons following or being let in by an authorised person;
- (b) door codes, links, digital keys or login credentials being shared, distributed or disclosed;
- (c) a phone or other authorised device being lost, stolen or hijacked, or a BankID being used by someone other than its holder;
- (d) automatic unlocking or proximity unlocking being triggered by an authorised user who is near the door, even if the user did not intend to open it;
- (e) the door not closing or locking mechanically, for example due to the door closer, the door being held open or tampering.
7.4 JOBBS is not liable for theft, shrinkage, vandalism or other loss on the Customer’s premises, regardless of whether the loss occurred in connection with access via the Service.
7.5 Scheduled opening hours and fixed inputs, for example an exit button, function locally in JOBBS Lockswitch even during a temporary interruption of the internet connection or of the Service. Unlocking by app, BankID, door code and Bluetooth requires contact with the Service and does not work during such an interruption. After a power failure without an internet connection, the control unit’s clock may be incorrect until the connection is restored, which may affect the opening hours. The Customer is responsible for ensuring that there is another way in during an interruption.
7.6 The Service is not a burglar alarm, a fire alarm, a panic alarm or any other certified security system and does not replace such systems, security guard services or insurance. Operational monitoring under the SLA Appendix relates to the technical functioning of the Service and does not mean surveillance of the Customer’s premises.
8. Hardware
8.1 Purchase. The Customer purchases Hardware from JOBBS at the prices set out in the price appendix or the order confirmation. The Swedish Sale of Goods Act (köplagen) (1990:931) does not apply to the extent it deviates from this clause 8.
8.2 Retention of title. Hardware remains the property of JOBBS until it has been paid for in full. Before full payment, the Customer may not transfer, pledge or otherwise dispose of the Hardware.
8.3 Delivery and risk. Delivery takes place in accordance with the order confirmation. The risk for the Hardware passes to the Customer when the Hardware has been delivered to the Customer, or to a Partner designated by the Customer. The Customer shall inspect the Hardware on delivery and give notice of visible defects or transport damage within eight (8) days.
8.4 Functional warranty. JOBBS warrants that the Hardware will function substantially in accordance with JOBBS’s product description for twelve (12) months from delivery. If the Hardware does not do so, JOBBS shall, at its own option, repair the Hardware or replace it with an equivalent unit. Replacement takes place in accordance with the SLA Appendix. This is the Customer’s sole remedy for defects in Hardware.
8.5 The warranty does not cover defects caused by
- (a) incorrect installation, connection or configuration not carried out by JOBBS;
- (b) tampering, accident, external force or vandalism;
- (c) moisture, water, condensation, extreme temperatures or use outside the specified environmental requirements;
- (d) overvoltage, lightning strikes or faults in the Customer’s electrical installation;
- (e) modifications, repairs or opening of the Hardware not approved by JOBBS;
- (f) normal wear and tear or consumable parts.
8.6 Installation. Installation of Hardware and connection to locks, door automation and other equipment is the Customer’s responsibility, unless JOBBS has undertaken the installation in writing. Installation may be carried out by a Partner engaged by the Customer. The Partner is an independent contractor of the Customer and JOBBS is not responsible for the Partner’s work.
8.7 Electricity and controlled equipment. The Customer is responsible for ensuring that electrical installation is carried out by an authorised electrical installer and in accordance with applicable electrical safety rules, and that the control of sauna heaters, barriers, gates, door automation and similar equipment is carried out in accordance with the manufacturer’s requirements and applicable safety regulations, including requirements for pinch protection, monitoring and emergency stop. JOBBS is not liable for damage arising from such equipment being controlled via the Service.
8.8 Software and firmware. Software and firmware in the Hardware are not sold but are licensed to the Customer under clause 13 for the term of the Agreement. JOBBS may update software and firmware remotely. The Customer shall not prevent updates.
8.9 Subscription required. The Hardware is designed to be used together with the Service and functions only with an active subscription. When the Agreement ends, the Hardware’s functionality in the Service also ends, and the Customer is not entitled to a refund of the purchase price for the Hardware for that reason.
9. Availability of the Service and support
9.1 JOBBS shall provide the Service in a professional manner and with the availability, support and operational monitoring set out in the SLA Appendix.
9.2 The availability level in the SLA Appendix is a target level. Planned maintenance takes place in accordance with the SLA Appendix.
9.3 If the availability of the Service falls below the level set out in the SLA Appendix, the Customer is entitled to a price reduction in accordance with the SLA Appendix. The price reduction is the Customer’s sole remedy for insufficient availability, except in the case of intent or gross negligence on the part of JOBBS.
9.4 JOBBS may further develop and change the Service, including the JOBBS app. Changes that materially impair a function ordered by the Customer shall be notified at least thirty (30) days in advance and entitle the Customer to terminate the affected module with effect from the date on which the change takes effect.
9.5 The Service depends on services from third parties, including cloud hosting, BankID, Adyen, SMS providers, app stores and third-party locks via Seam, Axis and Avigilon (OpenPath). JOBBS is not liable for faults in or changes to third-party services, but shall endeavour to limit the consequences for the Customer.
10. JOBBS AI
10.1 JOBBS AI generates responses automatically based on Customer Data using a language model. The responses may be incomplete or incorrect. The Customer is responsible for checking the responses before they are used as a basis for decisions, for example regarding bookkeeping, prices, staff or End Customers.
10.2 JOBBS AI can only perform actions that affect doors, for example unlocking, after the User has expressly confirmed the action in the Service. Each such action is logged with details of the User and the time. JOBBS AI has no greater permissions than the User using the function.
10.3 Customer Data processed in JOBBS AI is not used to train external AI models, either by JOBBS or by the AI provider.
10.4 The provider of the language model is stated in JOBBS’s list of sub-processors (see clause 11).
10.5 JOBBS AI is an add-on function. JOBBS may restrict, change or discontinue the function in compliance with clause 9.4.
11. Personal data
11.1 The Customer is the controller and JOBBS is the processor for the personal data that JOBBS processes on behalf of the Customer in the Service, for example data about Users, End Customers and access events.
11.2 The parties enter into JOBBS’s standard data processing agreement (DPA), which forms part of the Agreement. By entering into the Agreement, the Customer accepts the DPA.
11.3 JOBBS publishes an up-to-date list of sub-processors at www.jobbs.se/en/underbitraden. JOBBS shall notify the Customer at least thirty (30) days before a new sub-processor is engaged or an existing one is replaced. The Customer has the right to object to the change on reasonable grounds within this period. If the parties cannot agree, the Customer has the right to terminate the affected part of the Agreement with effect from the date on which the change takes effect.
11.4 For processing where JOBBS is the controller, for example the customer relationship and invoicing, reference is made to JOBBS’s privacy policy.
12. Customer Data, export and termination
12.1 The Customer owns the Customer Data. JOBBS may process Customer Data only to provide, maintain, secure and improve the Service in accordance with the Agreement and the DPA.
12.2 JOBBS may compile and use statistics and technical data about the use of the Service in anonymised and aggregated form, which cannot be attributed to the Customer, a User or an End Customer, in order to develop and improve its services. JOBBS may freely use suggestions and feedback that the Customer provides about the Service.
12.3 For sixty (60) days after the Agreement has ended, the Customer may, at no extra cost, itself export accounting records as SIE4, VAT reports as PDF, and customers, receipts, subscriptions, visitors, items, stock, entrance log and customer log as Excel files. JOBBS will deliver a complete export of all Customer Data on request.
12.4 After the end of the period in clause 12.3, JOBBS will delete or anonymise Customer Data within a reasonable time, except for data that JOBBS is required by law to retain and backups that are deleted in accordance with JOBBS’s ordinary routines.
12.5 The Customer is itself responsible for archiving accounting information in accordance with clause 6.1 (b). JOBBS is not responsible for Customer Data being available after the period in clause 12.3.
13. Intellectual property rights
13.1 JOBBS, or JOBBS’s licensors, own all intellectual property rights in the Service, the platform, the JOBBS app, software and firmware in Hardware, documentation and further developments of these, regardless of whether they were developed at the Customer’s initiative.
13.2 During the term of the Agreement, the Customer receives a non-exclusive, non-transferable right to use the Service for the Customer’s own business in accordance with the Agreement. The Customer may not grant the right to others, except to Users and End Customers to the extent this follows from the functionality of the Service.
13.3 The Customer may not copy, modify, decompile or otherwise attempt to derive the source code of the Service or firmware, except to the extent permitted by mandatory law.
13.4 JOBBS shall indemnify the Customer if a third party claims that the Customer’s use of the Service in accordance with the Agreement infringes the third party’s intellectual property rights in Sweden, provided that the Customer notifies JOBBS without delay and allows JOBBS to conduct the defence and negotiations. In such case, JOBBS may modify the Service so that infringement no longer occurs, obtain the necessary right, or terminate the affected part of the Agreement against a refund of Fees paid in advance.
14. Limitation of liability
14.1 JOBBS’s total liability under the Agreement during a contract year is limited to an amount equal to the Fees, exclusive of value added tax, paid by the Customer to JOBBS during the twelve (12) months preceding the event giving rise to the damage, but not more than SEK 1,000,000.
14.2 JOBBS’s total liability for damage arising from a personal data breach or other breach of the DPA or the General Data Protection Regulation is limited to SEK 1,000,000 per contract year. This amount applies instead of, and not in addition to, the amount in clause 14.1 for such damage. During the term of the Agreement, JOBBS shall maintain liability insurance and cyber insurance with an established insurance company. The cyber insurance shall cover at least SEK 1,000,000 per claim and insurance year. The Customer may obtain a certificate of insurance on request.
14.3 JOBBS is in no event liable for indirect or consequential loss, such as loss of profit, loss of turnover, loss of production, loss of goodwill, shrinkage, theft, vandalism, loss of or damage to data, or loss resulting from claims by third parties, including End Customers and public authorities.
14.4 The limitations in clauses 14.1 to 14.3 do not apply to damage caused by intent or gross negligence, or to personal injury caused by negligence.
14.5 The Customer’s liability under the Agreement is limited in the same way as JOBBS’s liability under clause 14.1. However, the limitation does not apply to the Customer’s obligation to pay Fees, the Customer’s undertakings under clause 6.5 or the Customer’s infringement of JOBBS’s intellectual property rights.
14.6 Notice of claims. Claims shall be made in writing within a reasonable time after the Customer noticed or should have noticed the grounds for the claim, and no later than three (3) months thereafter. Claims made later may not be pursued.
14.7 If the Customer is entitled to a price reduction under the SLA Appendix, the price reduction shall be set off against any damages for the same event.
15. Grounds for exemption (force majeure)
15.1 A party is exempt from liability for failure to perform an obligation under the Agreement if the failure is due to a circumstance beyond the party’s control which the party could not reasonably have foreseen when the Agreement was entered into and the consequences of which the party could not reasonably have avoided or overcome.
15.2 Such circumstances include, among other things, war, acts of terrorism, riots, industrial action (also when the party itself is the subject of or takes such action), natural disasters, fire, flood, pandemic, decisions of public authorities, changes in legislation, interruptions in public telecommunications, data or electricity supply, interruptions or serious disruptions at a cloud provider, BankID, Adyen or another payment service provider, SMS provider or app store, cyberattacks that could not reasonably have been prevented by the security measures JOBBS is obliged to take, and shortages of components, means of transport or energy.
15.3 A party wishing to invoke a ground for exemption shall notify the other party without delay and take reasonable measures to limit the consequences.
15.4 If performance of a material part of the Agreement is prevented for a period longer than sixty (60) days, either party has the right to terminate the Agreement in writing with immediate effect, without any obligation to compensate the other party for damage.
16. Confidentiality
16.1 Each party undertakes not to disclose to third parties confidential information that the party has received from the other party in connection with the Agreement. Confidential information means any information, whether technical, commercial or of any other nature, regardless of form, except information that
- (a) is or becomes publicly available other than through a breach of the Agreement;
- (b) the party can show it already knew before receiving it from the other party;
- (c) the party has received from a third party without a confidentiality obligation; or
- (d) the party is required to disclose by law, decision of a public authority or stock exchange rules.
16.2 A party shall ensure that employees, consultants, subcontractors and Partners who receive confidential information are bound by corresponding confidentiality.
16.3 JOBBS may name the Customer as a reference customer with name and logo, unless the Customer objects in writing.
16.4 The confidentiality undertaking applies during the term of the Agreement and for three (3) years thereafter.
17. Changes to these Terms
17.1 JOBBS may change these Terms, the DPA and the SLA Appendix. Changes shall be notified to the Customer by email or in the Service at least thirty (30) days before they take effect.
17.2 If a change is material and to the Customer’s disadvantage, the Customer has the right to terminate the Agreement with effect from the date on which the change takes effect, even during an agreed minimum term. The termination shall be made before the change takes effect. However, changes required by law or decisions of public authorities may take effect earlier if necessary.
17.3 Changes to Fees are governed by clauses 4.6 and 4.7.
17.4 Changes to a signed agreement or order confirmation shall be made in writing and signed by both parties to be valid.
18. Assignment
18.1 The Customer may not assign the Agreement, in whole or in part, without JOBBS’s written consent. Consent may not be withheld without reasonable grounds.
18.2 JOBBS may assign the Agreement to a company within the same group or to an acquirer of all or a substantial part of JOBBS’s business, and may assign receivables under the Agreement to a bank or finance company. JOBBS shall notify the Customer of the assignment.
18.3 JOBBS may engage subcontractors to perform its obligations. JOBBS is responsible for the work of subcontractors as for its own. A Partner engaged by the Customer itself is not a subcontractor of JOBBS.
19. Governing law and disputes
19.1 The Agreement shall be governed by Swedish law, excluding its conflict of laws rules.
19.2 Disputes arising out of the Agreement where the amount in dispute clearly does not exceed ten (10) price base amounts (prisbasbelopp) under the Swedish Social Insurance Code (socialförsäkringsbalken) (2010:110) at the time the action is brought shall be settled by the general courts with Skaraborg District Court (Skaraborgs tingsrätt) as the court of first instance.
19.3 Other disputes shall be finally settled by arbitration in accordance with the Rules for Expedited Arbitrations of the Arbitration Institute of the Stockholm Chamber of Commerce (SCC). The seat of arbitration shall be Gothenburg (Göteborg) and the language shall be Swedish.
19.4 Notwithstanding clauses 19.2 and 19.3, JOBBS always has the right to apply for an order to pay to the Swedish Enforcement Authority (Kronofogdemyndigheten), or to bring an action before the general courts, to collect overdue undisputed claims.
19.5 Arbitration proceedings and arbitral awards are subject to confidentiality in accordance with clause 16.
